AGREEMENT TO TERMS
Welcome to Sonautic. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sonautic Inc. ("Sonautic," "Company," "we," "us," or "our") governing your access to and use of the Sonautic mobile application, web platform, and related services (collectively, the "Service").
By creating an account, downloading the app, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms within the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
ELIGIBILITY AND ACCOUNT REGISTRATION
2.1 Age requirements
The Service is intended for users who are at least 13 years of age. If you are between 13 and 18 years old (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. Users under 13 are not permitted to use the Service.

Your role (student or educator)
Your name
Your primary instrument (optional)

2.3 Account types
Sonautic offers two primary account types:
Student accounts: for individuals learning and practicing music
Educator accounts: for music teachers and instructors
Additional roles (such as school administrators or institution accounts) may be available through separate agreements.
DESCRIPTION OF SERVICE
3.1 Core features
Sonautic is a music education and practice management platform that provides:
Project management: create and organize music projects with digital sheet music
Practice sessions: timer-based practice tracking with metronome, tuner, and self-rating features
Task management: create, prioritize, and track practice tasks with AI-assisted planning
Event management: calendar functionality for concerts, lessons, rehearsals, and performances
File management: upload, store, and organize PDF sheet music and recordings
PDF annotation: mark up sheet music with highlights, drawings, and notes
Connect (social features): community feed, posts, likes, comments, and instrument-based filtering
Direct messaging: communication with other users
Head tracking page turning: camera-based hands-free page turning for PDF sheet music
3.2 AI-powered features
Sonautic includes AI-powered features ("AI Agent") that provide:
Practice planning assistance
Task analysis and recommendations
Practice session suggestions
Intelligent insights about your practice habits
AI features may be subject to credit-based usage limits based on your subscription tier.
3.3 Service availability
We strive to maintain Service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.
SUBSCRIPTION PLANS AND PAYMENTS
4.1 Subscription tiers
Sonautic may offer multiple subscription tiers, such as:
Free: limited AI Agent usage and basic features
Plus: increased AI Agent usage and enhanced features
Pro: higher AI Agent usage limits and additional capabilities
Institution: custom plans for organizations and schools
Details of current tiers, features, and limits are described within the Service or on our website.
4.2 Billing
Subscriptions are billed monthly or annually, depending on your selection.
Payment is processed through the Apple App Store (iOS) or Google Play Store (Android).
Your subscription will automatically renew unless canceled at least 24 hours before the end of the current billing period.
Any AI-related credits or limits reset on a periodic basis (for example, monthly) as described in the Service.
4.3 Price changes
We may change subscription prices at any time. Price changes will take effect at the start of the next billing period following notice of the price change. By continuing to use the Service after the price change takes effect, you agree to pay the modified subscription fee.
4.4 Refunds
Refund requests are handled according to Apple App Store and Google Play Store policies. For subscription-related refund inquiries, please contact the respective app store.
4.5 Free trial
If you register for a free trial, you may use the Service free of charge until the earlier of: (a) the end of the free trial period; or (b) the start date of a paid subscription. At the end of the free trial, your account may automatically convert to a free tier unless you subscribe to a paid plan.
USER CONTENT AND INTELLECTUAL PROPERTY
5.1 Your content
"User Content" refers to any content you create, upload, share, or store through the Service, including but not limited to:
PDF files and sheet music
Audio and video recordings
PDF annotations and markings
Practice notes and session data
Profile information (bio, avatar, cover photos)
Social posts, comments, and messages
Tasks, projects, and events
You retain all ownership rights to your User Content. By uploading or creating User Content, you grant Sonautic a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and process your User Content solely for the purpose of providing and improving the Service.
5.2 Content responsibilities
You represent and warrant that:
You own or have the necessary rights to your User Content.
Your User Content does not infringe any third-party intellectual property rights, including copyrights.
Your User Content complies with all applicable laws and these Terms.
You have obtained all necessary permissions for any sheet music, recordings, or copyrighted material you upload.
Important: uploading copyrighted sheet music or other material without proper authorization may constitute copyright infringement. You are solely responsible for ensuring you have the right to upload and use any content.
5.3 Sonautic’s intellectual property
The Service, including its design, features, functionality, and all related content, trademarks, logos, and trade names, are owned by Sonautic Inc. and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our express written permission.
5.4 Feedback
If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us the right to use such Feedback without restriction or compensation to you.
ACCEPTABLE USE POLICY
6.1 Permitted use
You may use the Service only for lawful purposes and in accordance with these Terms. The Service is intended for personal music education and practice management.
6.2 Prohibited conduct
You agree not to:
Use the Service for any illegal purpose or in violation of any laws.
Upload, post, or transmit any content that:
Infringes copyrights, trademarks, or other intellectual property rights.
Is defamatory, obscene, pornographic, hateful, or discriminatory.
Contains malware, viruses, or harmful code.
Violates the privacy or publicity rights of others.

Attempt to gain unauthorized access to the Service or other users' accounts.
Interfere with or disrupt the Service or its servers.

Circumvent any access controls or usage limits.
Share your account credentials with others.
Use the Service in a manner that could damage, disable, or impair the Service.

7.3 Camera and microphone

These permissions are optional and can be denied without affecting core functionality. Camera data for head tracking is processed locally on your device and is not transmitted to our servers.

The Service integrates with third-party services, including:
Supabase: database, authentication, and file storage.
RevenueCat: subscription and payment management.
AI services: for AI-powered features.
Your data shared with these services is governed by their respective privacy policies and our Privacy Policy.

8.2 AI limitations
You understand and acknowledge that:
AI features provide suggestions and recommendations, not professional advice.
AI responses may contain errors or inaccuracies.
AI is not a substitute for qualified music instruction.
You should verify AI suggestions with your teacher or instructor if you rely on them for significant decisions.
AI features may be modified or discontinued at any time.
8.3 AI data usage

SOCIAL AND COMMUNITY FEATURES
9.1 Connect feature
The Connect feature allows users to:

Like and comment on others' posts.
Filter content by instrument or other criteria.
Follow or interact with other users.
9.2 Messaging
The Service may include direct messaging functionality. You agree to:
Use messaging for legitimate communication only.
Not send spam, harassment, or unsolicited content.
Report inappropriate messages using any available in-app reporting feature.
9.3 Content visibility
You may be able to control the visibility of your content through privacy settings, such as:
Private: only visible to you.
School or institution: visible to certain groups or organizations.
Public: visible to all users.
Default settings and options are described in your account settings or within the Service.
9.4 Blocking and reporting
You may block users to prevent them from contacting you or viewing your content. You may report inappropriate content or behavior through any available in-app reporting system. We review reports and may take action, including content removal or account suspension.
DISCLAIMERS AND LIMITATION OF LIABILITY
10.1 Service provided "as is"
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and title.
We do not warrant that:
The Service will be uninterrupted, secure, or error-free.
Results obtained from the Service will be accurate or reliable.
Any errors will be corrected.
The Service will meet your specific requirements.
10.2 Educational disclaimer
Sonautic provides tools for music practice management and does not replace professional music instruction. We make no claims about educational outcomes. Users should continue to work with qualified music educators where appropriate.
10.3 Limitation of liability
To the maximum extent permitted by law, Sonautic Inc. and its officers, directors, employees, agents, and affiliates shall not be liable for:
Any indirect, incidental, special, consequential, or punitive damages.
Any loss of profits, data, use, or goodwill.
Any damages arising from your use or inability to use the Service.
Any damages arising from unauthorized access to or alteration of your data.
Any damages arising from User Content or third-party content.
In no event shall our total liability exceed the amount you paid to us in the twelve (12) months preceding the claim, or one hundred United States dollars (USD $100), whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
10.4 Indemnification
You agree to indemnify, defend, and hold harmless Sonautic Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
Your use of the Service.
Your User Content.
Your violation of these Terms.
Your violation of any third-party rights.
TERMINATION
11.1 Termination by you
You may terminate your account at any time by using any available "Delete Account" feature in your account settings or by contacting us at privacy@sonautic.io.
Upon termination:
Your access to the Service will cease.
Your User Content will be deleted or handled according to our data retention policy.
You will not receive a refund for any unused portion of your subscription, unless required by law or by app store policies.
11.2 Termination by us
We may suspend or terminate your account immediately, without prior notice, if:
You violate these Terms.
Your account is used for illegal activity.
We are required to do so by law.
We discontinue the Service.
11.3 Effect of termination
Upon termination:
Your right to use the Service ceases immediately.
Provisions that by their nature should survive termination shall survive, including intellectual property rights, disclaimers, indemnification, and limitations of liability.
DISPUTE RESOLUTION
12.1 Informal resolution
Before initiating any formal dispute resolution, you agree to contact us at privacy@sonautic.io and attempt to resolve the dispute informally for at least thirty (30) days.
12.2 Governing law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
12.3 Arbitration agreement
You and Sonautic agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if eligible.
Unless otherwise agreed, the arbitration shall be administered by a recognized arbitration organization under its applicable rules. The arbitration will be conducted in English, and judgment on the award may be entered in any court with jurisdiction.
12.4 Class action waiver
You and Sonautic agree that each party may bring claims against the other only in your or its individual capacity and not as a plaintiff or class member in any purported class or representative action.
12.5 Exceptions
This arbitration agreement does not apply to:
Claims for injunctive or equitable relief.
Claims related to intellectual property rights.
Small claims court actions, where available.
GENERAL PROVISIONS
13.1 Entire agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Sonautic regarding the Service and supersede all prior agreements and understandings.
13.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
13.3 Waiver
Our failure to enforce any right or provision of these Terms shall not be considered a waiver of those rights.
13.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
13.5 Notices
We may provide notices to you through the Service, by email to the address associated with your account, or by other reasonable means. You must send any notices to us in writing to:

13.6 Force majeure
We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.

Welcome to Sonautic. These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Sonautic Inc. ("Sonautic," "Company," "we," "us," or "our") governing your access to and use of the Sonautic mobile application, web platform, and related services (collectively, the "Service").
By creating an account, downloading the app, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not use the Service.
We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms within the Service and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
ELIGIBILITY AND ACCOUNT REGISTRATION

DESCRIPTION OF SERVICE
3.1 Core features
Sonautic is a music education and practice management platform that provides:
Project management: create and organize music projects with digital sheet music
Practice sessions: timer-based practice tracking with metronome, tuner, and self-rating features
Task management: create, prioritize, and track practice tasks with AI-assisted planning
Event management: calendar functionality for concerts, lessons, rehearsals, and performances
File management: upload, store, and organize PDF sheet music and recordings
PDF annotation: mark up sheet music with highlights, drawings, and notes
Connect (social features): community feed, posts, likes, comments, and instrument-based filtering
Direct messaging: communication with other users
Head tracking page turning: camera-based hands-free page turning for PDF sheet music
3.2 AI-powered features
Sonautic includes AI-powered features ("AI Agent") that provide:
Practice planning assistance
Task analysis and recommendations
Practice session suggestions
Intelligent insights about your practice habits
AI features may be subject to credit-based usage limits based on your subscription tier.
3.3 Service availability
We strive to maintain Service availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.
SUBSCRIPTION PLANS AND PAYMENTS
4.1 Subscription tiers
Sonautic may offer multiple subscription tiers, such as:
Free: limited AI Agent usage and basic features
Plus: increased AI Agent usage and enhanced features
Pro: higher AI Agent usage limits and additional capabilities
Institution: custom plans for organizations and schools

4.2 Billing
Subscriptions are billed monthly or annually, depending on your selection.
Payment is processed through the Apple App Store (iOS) or Google Play Store (Android).
Your subscription will automatically renew unless canceled at least 24 hours before the end of the current billing period.
Any AI-related credits or limits reset on a periodic basis (for example, monthly) as described in the Service.
4.3 Price changes
We may change subscription prices at any time. Price changes will take effect at the start of the next billing period following notice of the price change. By continuing to use the Service after the price change takes effect, you agree to pay the modified subscription fee.
4.4 Refunds
Refund requests are handled according to Apple App Store and Google Play Store policies. For subscription-related refund inquiries, please contact the respective app store.
4.5 Free trial
If you register for a free trial, you may use the Service free of charge until the earlier of: (a) the end of the free trial period; or (b) the start date of a paid subscription. At the end of the free trial, your account may automatically convert to a free tier unless you subscribe to a paid plan.
USER CONTENT AND INTELLECTUAL PROPERTY
5.1 Your content
"User Content" refers to any content you create, upload, share, or store through the Service, including but not limited to:
PDF files and sheet music
Audio and video recordings
PDF annotations and markings
Practice notes and session data
Profile information (bio, avatar, cover photos)
Social posts, comments, and messages
Tasks, projects, and events
You retain all ownership rights to your User Content. By uploading or creating User Content, you grant Sonautic a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and process your User Content solely for the purpose of providing and improving the Service.
5.2 Content responsibilities
You represent and warrant that:
You own or have the necessary rights to your User Content.
Your User Content does not infringe any third-party intellectual property rights, including copyrights.
Your User Content complies with all applicable laws and these Terms.
You have obtained all necessary permissions for any sheet music, recordings, or copyrighted material you upload.
Important: uploading copyrighted sheet music or other material without proper authorization may constitute copyright infringement. You are solely responsible for ensuring you have the right to upload and use any content.
5.3 Sonautic’s intellectual property
The Service, including its design, features, functionality, and all related content, trademarks, logos, and trade names, are owned by Sonautic Inc. and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our express written permission.
5.4 Feedback
If you provide us with feedback, suggestions, or ideas about the Service ("Feedback"), you grant us the right to use such Feedback without restriction or compensation to you.
ACCEPTABLE USE POLICY
